Terms & Conditions

1. Definitions

• "Puur Modulair" / "we" / "us": AllPoint Sp. z o.o., registered in Poland (REGON: 221597538, NIP: 5851463808), Aleja "Solidarnosci" 155/6, 00-877 Warszawa.
• "Client" / "you": Any natural or legal person who requests a quotation, places an order, or uses our services.
• "Products": Timber, timber-based products, and related materials supplied by PuurModulair.
• "Services": Specification advice, quotation, sourcing, and delivery services provided by PuurModulair.

2. Applicability

These Terms & Conditions apply to all quotations, offers, orders, and agreements between PuurModulair and the Client. By requesting a quotation or placing an order, you accept these terms in full.

Deviations from these terms are only valid if agreed in writing by an authorised representative of PuurModulair.

3. Quotations & orders

• All quotations are non-binding and valid for 14 days unless stated otherwise.
• Prices are exclusive of VAT, transport, and import duties unless explicitly stated.
• An order is confirmed only upon written acceptance by PuurModulair (email constitutes written confirmation).
• We reserve the right to decline any order without providing reasons.
• Prices may be adjusted if raw material costs change by more than 5% between quotation and delivery.

4. Delivery

• Delivery times are indicative and not binding. Delays do not entitle the Client to compensation or cancellation unless agreed otherwise.
• Delivery is EXW (Ex Works) unless otherwise agreed in writing. Risk transfers to the Client upon dispatch from our warehouse or supplier.
• The Client is responsible for providing accurate delivery addresses and ensuring site access for delivery vehicles.
• Partial deliveries are permitted and may be invoiced separately.

5. Payment

• Payment terms: 30 days net from invoice date, unless otherwise agreed.
• First orders may require prepayment or payment upon delivery.
• Late payment incurs statutory commercial interest (Dutch Civil Code, Article 6:119a BW) plus reasonable collection costs.
• PuurModulair retains title to all Products until full payment is received (retention of title).

6. Quality & specifications

• Products are supplied in accordance with the specifications stated in the order confirmation.
• Natural variations in timber (colour, grain, knot pattern) are inherent to the material and do not constitute defects.
• Dimensional tolerances are per applicable EN standards (EN 336, EN 14081, EN 14080) unless otherwise specified.
• The Client must inspect Products within 5 working days of delivery and report defects in writing within this period.

7. Returns & complaints

• Returns are accepted only with prior written agreement from PuurModulair.
• Custom-cut, treated, or bespoke Products cannot be returned.
• Complaints must be submitted in writing within 5 working days of delivery, accompanied by photographs.
• Accepted complaints are resolved by replacement, credit note, or repair — at PuurModulair's discretion.

8. Liability

• PuurModulair's total liability is limited to the invoice value of the specific Products or Services giving rise to the claim.
• We are not liable for indirect, consequential, or incidental damages (including loss of profit, business interruption, or project delays).
• We are not liable for damage caused by improper storage, handling, or installation of Products by the Client or third parties.
• Force majeure (including but not limited to supply chain disruptions, natural disasters, pandemics, government actions, and transport strikes) suspends our obligations without liability.

9. Intellectual property

All content on puurmodulair.com — including text, images, specification templates, and design — is the intellectual property of AllPoint Sp. z o.o. or its licensors. Specification templates downloaded from our site may be used for your own projects but may not be redistributed, resold, or published without written permission.

10. Governing law & disputes

• These terms are governed by the laws of Poland.
• Any disputes arising from or in connection with these terms shall be submitted exclusively to the competent court in Warsaw, Poland.
• For B2B disputes, we encourage resolution through negotiation before legal proceedings.

11. Sustainability & compliance

PuurModulair is committed to sustainable timber sourcing. All timber is sourced from legal, verified supply chains. We comply with the EU Deforestation Regulation (EUDR) and support FSC and PEFC certification schemes. Clients may request chain of custody documentation for any order.
